Terms & Conditions
- **Services Offered**: The Gorch Academy agrees to provide training services as described in the agreed proposal or contract. Any changes to the scope of services must be agreed upon in writing by both parties.
- **Fees and Payments**: Clients agree to pay all fees as outlined in the proposal or contract. Payments are due according to the agreed schedule. Failure to pay may result in suspension of services.
- **Cancellation Policy**: Clients must provide notice of cancellation in writing. Cancellations made within [7 days] of the scheduled training may incur a cancellation fee of [35% of total fee]. The Company reserves the right to cancel or reschedule sessions due to unforeseen circumstances.
- **Intellectual Property**: All training materials provided by the Company are proprietary and remain the intellectual property of the Company. Clients may not reproduce or distribute materials without prior written consent.
- **Confidentiality**: Both parties agree to keep confidential any proprietary or sensitive information disclosed during the training sessions. This includes but is not limited to business strategies, client lists, and financial information.
- **Limitation of Liability**: The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from the services provided.
- **Indemnification**: Clients agree to indemnify and hold harmless the Company and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with the services provided.
- **Governing Law**: These terms and conditions shall be governed by and construed in accordance with the laws. Any dispute arising under these terms shall be resolved exclusively in the courts located.
- **Force Majeure**: Neither party shall be liable for any failure to perform its obligations where such failure is as a result of Acts of Nature (including fire, flood, earthquake, storm, hurricane or other natural disaster), war, invasion, act of foreign enemies, hostilities (regardless of whether war is declared), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout or interruption or failure of electricity or telephone service.
- **Miscellaneous**: These terms constitute the entire agreement between the parties and supersede any prior agreements or understandings, whether written or oral. No modification or amendment of these terms shall be effective unless in writing and signed by both parties.
